The terms governing use of our services and website.
1. About us
TechnoFlex Limited ("we", "us", "our") is a company registered in England and Wales. We provide technology consulting, cloud services, IT support, software development, and related professional services to business clients across the UK. By engaging our services or accessing our website, you agree to these terms.
2. Our services
The scope, deliverables, timelines, and fees for services are agreed in a written Statement of Work, Service Agreement, or Order Form ("Agreement") prior to commencement. These terms apply alongside and form part of that Agreement. In the event of conflict, the Agreement takes precedence.
3. Payment terms
Invoices are payable within 30 days of the date of issue unless otherwise agreed in writing. We reserve the right to charge statutory interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Intellectual property
Unless expressly agreed otherwise in writing, all intellectual property rights in work created by TechnoFlex Limited remain vested in TechnoFlex Limited until full payment has been received. Upon receipt of payment, the agreed licence or assignment as set out in the Agreement shall take effect.
5. Confidentiality
Both parties agree to maintain the confidentiality of information disclosed during the course of the engagement and not to disclose it to third parties without prior written consent, except where required by law or regulation.
6. Limitation of liability
To the fullest extent permitted by law, TechnoFlex Limited's total liability to a client shall not exceed the total fees paid by that client in the three months preceding the event giving rise to the claim. We shall not be liable for indirect, consequential, or economic loss.
7. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
